PUBLIC OFFER for the paid provision of services for the development of digital calibration data for electronic control units of vehicles
1. General provisions
1.1. This document is a public offer in accordance with Article 437 of the Civil Code of the Russian Federation and is addressed to any capable individual, individual entrepreneur, or legal entity (hereinafter referred to as the Customer).
1.2. Individual entrepreneur Basov Ruslan Alexandrovich, OGRNIP 320774600190363, INN 772023977720 (hereinafter referred to as the Contractor) offers the Customer to conclude a contract for the paid provision of services on the terms set forth in this offer.
1.3. Acceptance of this offer is considered to be the performance by the Customer of one or more of the following actions: • placing an order on the Contractor's website; • payment for services by any available means; • providing initial data for the provision of services. From the moment of acceptance, the contract is considered concluded in writing.
2. Subject of the contract
2.1. The Contractor undertakes, at the request of the Customer, to provide services for the development (preparation) of digital files of calibration data for electronic control units of vehicles (hereinafter referred to as the Services), and the Customer undertakes to accept and pay for such Services.
2.2. The result of the provision of Services is a digital file (or a set of files) of calibration data intended for subsequent use in configuring electronic control units.
2.3. This contract does not include and the Contractor does not perform: • physical recording (flashing) of files into electronic control units; • repair, maintenance, or diagnostics of vehicles; • interference with the design of the vehicle. These actions, if necessary, are performed by the Customer independently or by third parties.
2.4. The Customer confirms that they understand that the Contractor does not control the operating conditions of the vehicle, the process of recording the file, and the further use of the result of the Services.
3. Procedure for providing services
3.1. Services are provided based on the initial data provided by the Customer (including, but not limited to: read files, software identifiers, configuration of control units).
3.2. The Customer is responsible for the completeness, accuracy, and reliability of the provided initial data.
3.3. Services may be provided: • in relation to one electronic control unit; • in the form of a package of services, including the development of files for several control units (for example, engine and transmission), as specified in the order.
3.4. The Contractor has the right to involve third parties in the provision of Services without the Customer's consent, while remaining responsible to the Customer for the result of the Services.
4. Acceptance of services and document flow
4.1. The fact of providing Services is confirmed by an act of services rendered or a universal transfer document (UPD), generated by the Contractor in electronic form automatically.
4.2. Closing documents are provided to the Customer by: • posting in the personal account; • and/or sending to the email address specified by the Customer.
4.3. Closing documents do not require signing by the Customer and the Contractor.
4.4. If the Customer does not send reasoned written objections within 5 (five) working days from the moment of providing the closing document, the Services are considered to have been provided properly and accepted by the Customer in full.
4.5. The Customer confirms and agrees that documents generated in the manner provided for by this contract have the legal force of primary accounting documents.
5. Cost of services and payment procedure
5.1. The cost of Services is determined based on the information posted on the Contractor's website or agreed upon when placing the order.
5.2. Payment for Services is made by one of the following methods: • by bank card; • through the fast payment system (FPS); • by transferring funds to the Contractor's settlement account.
5.3. The moment of payment is considered to be the receipt of funds in the Contractor's settlement account.
5.4. The procedure for mutual settlements is fixed in the SALES POLICY AND REFUND PROCEDURE, which is an integral part of this Offer
6. Rights to the result of services
6.1. All exclusive rights to the developed digital files, methodologies, algorithms, and solutions belong to the Contractor.
6.2. The Customer is granted a non-exclusive right to use the result of the Services solely for purposes related to the specific vehicle for which the Services were provided.
6.3. The Customer is not entitled to: • transfer files to third parties for commercial use; • distribute, sell, or modify the result of the Services; • use the result of the Services as a basis for providing services to third parties, unless otherwise expressly agreed with the Contractor.
7. Liability of the parties
7.1. The Contractor is not liable for: • actions of third parties performing file recording; • technical condition of the vehicle; • consequences of operating the vehicle after using the result of the Services.
7.2. The Contractor does not guarantee the achievement of specific operational or technical indicators of the vehicle.
7.3. The Contractor's liability is limited to the cost of the Services provided under the relevant order.
8. Final provisions
8.1. The relations of the parties are governed by the law of the Russian Federation.
8.2. Disputes are resolved through negotiations, and if an agreement is not reached, in court at the location of the Contractor's registration.
8.3. The Customer confirms that the terms of this offer are clear to them and accepted in full.
